Cat Games has the absolute right to remove any Submissions it deems unacceptable You agree to indemnify and hold harmless Cat Games against all liability it may have in respect of and arising out of your use of the Cat Games Services and your Submissions. Termination Cat Games shall be entitled to terminate this Agreement and immediately remove, cancel or suspend access to and use of SundayLeague.com upon your breach of any part of these Terms whatsoever. Termination shall be without prejudice to the accrued rights of either party. Cat Games will not be liable in any amount for failure to perform any obligation under this agreement if such failure is caused by the occurrence of any unforeseen contingency beyond the reasonable control of such party including without limitation Internet outages, communications outages, fire, flood, war or act of God. General Except as provided above there are no other warranties, conditions or other terms, express or implied, statutory or otherwise, and all such terms are hereby excluded to the maximum extent permitted by law (but subject to your statutory and common law consumer rights). These terms and conditions constitute the entire agreement between you and Cat Games and shall apply to the exclusion of all other terms or conditions of contract which you may purport to propose. Use of Cat Games and these terms are subject to the laws of England which shall exclusively govern the interpretation, application and effect of all the above permissions, exclusions, licences and conditions of use and shall be construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English courts. SundayLeague.com Official Game Rules NO PURCHASE NECESSARY. VOID WHERE PROHIBITED. SundayLeague.com is a skill game of hockey management. 1. ELIGIBILITY. Open to legal residents of the United States (excluding Puerto Rico), Canada and the United Kingdom who have reached the age of majority in their country, state or province and had a valid e-mail account prior to January 27, 2003 (the "Start Date"), who are located in the United States (excluding Puerto Rico), Canada and the United Kingdom (excluding Ineligible Locations (defined below)) at the time of entry. Residents of Arizona, Colorado, Connecticut, Florida, Illinois, Maryland, New Jersey, Tennessee, Vermont, and the province of Quebec (the "Ineligible Locations") may participate, but are NOT eligible to win or receive any prizes. Any individual who is at least 13 years of age as of the Start Date, but has not reached the age of majority in his or her country, state or province, may register to participate in SundayLeague.com but will NOT be eligible to win prizes or purchase credits. SundayLeague.com is not open to employees, representatives and agents of the National Hockey League and its Member Teams, nhl Enterprises, L.P., nhl Enterprises Canada, L.P., nhl Enterprises B.V. or nhl Interactive CyberEnterprises (collectively, the "nhl Entities"), the advertising and promotional organizations for this SundayLeague.com, Cat Games Ltd., the respective subsidiaries and/or affiliates of any of the foregoing, SundayLeague.com judges (collectively, the "Contest Parties"), and any person domiciled with, and/or an immediate family member of, any of the foregoing. 2. CONTEST DATES. The SundayLeague.com season begins at 10 pm, Jan 27, 2003 and lasts approximately 40 days consisting of Division Games, Exhibition Games and Division and Finals Champion Shield Cup Competitions, ending on 10 pm, 8 March, 2003 (the "Season"). All times are EST. Cat Games reserves the right not to offer additional seasons and terminate SundayLeague.com at the end of the Season. Any credits outstanding on termination will be voided with no compensation. 3. HOW TO ENTER. Visit the SundayLeague.com website at http://www.SundayLeague.com, http://www.nhl.catgames.com (or go to www.nhl.com and follow the links to the SundayLeague.com website) and follow the prompts to log in, register and choose your players and begin play. You may be able to log in and enter at any time during the Season but the League may become full and no further entries will be accepted. A maximum of 4,096 individuals may be registered for the Season. Persons entering will be assigned to an available team at the sole discretion of the Cat Games. Individuals may manage no more than two teams. In the event of a dispute as to the identity of an entrant, the entrant will be deemed to be the person in whose name the e-mail account was registered on the date when registering for the first time in the Season. The Contest Parties and their respective affiliates, officers, directors, governors, agents and employees are not liable for lost, late, stolen, illegible, delayed, or misdirected entries, technical hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete, or damaged on-line entries, garbled or delayed computer transmissions, which may limit a user's ability to participate in SundayLeague.com in any way. The Contest Parties and their respective affiliates, officers, directors, governors, agents and employees are not responsible for any problems or the technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail on account of technical problems or traffic congestion, or any combination thereof, including any injury or damage to entrant's or any other person's computer or other property related to or resulting from participation or downloading any materials in connection with SundayLeague.com. 4. During the Season, one prize and/or discount offer will be awarded to the entrant whose manager, as the case may be, has the highest score in each of the categories indicated below. All amounts are expressed in US dollars. VERIFICATION OF POTENTIAL WINNERS. All potential winners are subject to verification of compliance with these Official Rules and, if potential winner is a Canadian resident, he/she must correctly answer a time-limited mathematical skill-testing question in order to be confirmed as a winner of any prize / discount offer. Non-compliance with any provisions of these Official Rules, use of foul, racist, abusive or offensive language; cheating including playing yourself or teams managed by yourself or arranging wins with other players; or any attempt to damage SundayLeague.com or its community in any way will be grounds for disqualification of the potential winner, forfeiture of any prize or discount offer, and selection of an alternate entrant. Each winner is responsible for all federal, state, provincial and local taxes. All national, state, provincial and local laws and regulations apply. SundayLeague.com Additional Game Rules and Features You may join SundayLeague at any time if there is an available team, except that you may not manage more than two teams. Players may not use foul, racist, abusive or offensive language in any part of SundayLeague. Nor may they use Submissions to damage the game or its community in any way. Cat Games will be the sole judge of what is acceptable or not. Contravention of any of these rules could lead to automatic disqualification from all competitions and removal from the game. If you are invited to join a division by a friend, your place is not reserved. If you do not register in time, your slot will no longer be reserved and may be assigned to someone else. SundayLeague will warn you by email of this. If you do not log in to manage your team for 40 days, you will be removed from the game. SundayLeague will warn you by email well in advance if you are in danger of removal. If you resign or are removed from SundayLeague, you will lose all credits associated with your previous team. Payments for these credits will not be refunded. If you decide to re-register, you will then be assigned a new team. You will not be able to reclaim any credits you may have had with your previous team or transfer any credits from one team to another. It is not permitted to play Exhibition matches against teams managed by yourself to gain points in the Exhibition standing tables. Exhibition table points earned in games against teams managed by yourself, or teams which deliberately lose, will not be valid. Attempts to win points by playing yourself or arranging wins with other players is cheating, and could result in expulsion from the game. Extreme cases of cheating and/or offensive behaviour will result in a lifetime ban. Payment Terms Merchandise If Merchandise is advertised for sale on SundayLeague.com it is so that you may offer to purchase ("Order") for the price stated. Orders are subject to these terms and conditions and will be confirmed by e-mail. Orders are deemed accepted when we send the confirmation e-mail. We cannot guarantee that a particular item will always be available. You will not be charged for any Orders that cannot be fulfilled and where appropriate we will re-credit to your account any sum debited by us. Orders may be processed online, or by phone, using a stated credit or debit card. SundayLeague.com does not accept cash, cheque or money order. All Order details and invoices will be sent to the credit card billing address and not the shipping address where they differ. SundayLeague.com may cancel any sale and not supply Merchandise if it is reasonable to do so and may change or discontinue the availability of items at any time at its sole discretion. Please return defective or damaged Merchandise to SundayLeague.com for a full refund or replacement, whenever possible and reasonable. If you are unhappy with any item of Merchandise please return it, with the dispatch note, unused, for a full refund within 7 working days (provided it has been returned in the condition in when delivered to you). No reason has to be given. We will endeavour to deliver as soon as possible but you should wait 28 days for delivery. Please therefore Order with sufficient lead-time to prevent any loss or disappointment. Features SundayLeague.com is free to use and play, however additional features may be obtained to enhance your use and enjoyment of SundayLeague.com. Such features may be obtained using Credits, which may be awarded for success in the use and playing of SundayLeague.com or purchased by you. Credits are advertised for sale on SundayLeague.com so that you may offer to purchase ("Order") for the price stated in the manners described below. In some countries you may obtain Credits by dialling a Premium Rate Phone Number charged at a per minute rate. Within one minute the caller will be given a unique PIN number which may be entered on SundayLeague.com to give you a specified number of Credits. The charge will appear on your monthly phone bill. All callers must ensure that they have the permission of the person who pays the phone bill before calling. In some countries you may obtain Credits using your mobile phone by sending a SMS text message to a specified number. You will then receive SMS text messages charged at a rate per message, containing a unique PIN number which may be entered on SundayLeague.com to give you a specified number of Credits. The charge will appear on your monthly phone bill. All callers must ensure that they have the permission of the person who pays the phone bill before calling. You may obtain Credits online using your credit card. Specified amounts of credits may be purchased at a variety of price points. Charge appears on monthly credit card bill. Credit card Orders will be confirmed by e-mail and are deemed accepted when we send the confirmation e-mail. All Order details and invoices will be sent to the credit card billing address and not the shipping address where they differ. You will not be charged for any Orders that cannot be fulfilled and where appropriate Cat Games will re-credit to your account any sum debited by Cat Games.
